These Terms of Use (“Terms”) govern your access to and use of applications, websites, content, products, and services (collectively, the “Services”) provided by VR Mobility Private Limited (“VOZI Cabs”), a private limited liability company established in India. The company's registered office is located at #1, Umashankar Nilaya, 6th Cross, Akshay Nagar, 2nd Block, Ramamurthynagar, , Bangalore, Karnataka, India - 560016, and it holds the Corporate Identification Number U63030KA2022PTC164258.

Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms, establishing a contractual relationship between you and VOZI Cabs. If you do not agree to these Terms, you are not permitted to access or use the Services.

These Terms replace any prior agreements or arrangements you may have with VOZI Cabs. The company reserves the right to terminate these Terms or suspend the provision of the Services at any time for any reason. Additional terms may apply to certain Services, such as event-specific policies, promotions, or activities. These supplemental terms will be disclosed in connection with the relevant Services and will take precedence in the event of a conflict.

VOZI Cabs may modify these Terms at its discretion. Any updates will be effective once posted on this page or within the relevant Services. Continued use of the Services following such updates constitutes your acceptance of the revised Terms.

Our handling of personal information is governed by VOZI Cabs' Privacy Policy, available at www.vozi.in. VOZI Cabs may share necessary information, including your contact details, with claims processors or insurers to resolve disputes, complaints, or conflicts, including those involving third-party providers.

2. The Services

The Services include:

• Technology Platform: Enabling users to arrange and schedule transportation and logistics services using VOZI Cabs' mobile applications or websites (“Applications”).
• Support Services: Assisting users with payment facilitation, trip details sharing, query resolution, complaints, support tickets, and arranging pickups (e.g., airport transfers).
• Ride Pass Services: Offering discounted ride benefits as per the promotions provided by VOZI Cabs.

Unless otherwise specified in a separate agreement, these Services are for personal, non-commercial use only.

3. License

VOZI Cabs grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Applications on your personal device for Service-related purposes.
• Use the content, information, and related materials provided through the Services for personal, non-commercial purposes.

All other rights remain reserved by VOZI Cabs and its licensors.

4. Restrictions

You are prohibited from:

• Removing copyright, trademark, or proprietary notices from the Services.
• Reproducing, modifying, distributing, or exploiting the Services without authorization.
• Decompiling, reverse engineering, or disassembling the Services (unless permitted by law).
• Linking, mirroring, or framing any part of the Services.
• Using unauthorized scripts, programs, or methods to scrape or hinder the Services' functionality.
• Gaining unauthorized access to or impairing the Services or related systems.

5. Third-Party Services and Content

The Services may include third-party content or services beyond VOZI Cabs' control. Different terms of use and privacy policies may apply to these third-party offerings. VOZI Cabs does not endorse third-party content or services and is not responsible for any liabilities arising from their use.

Certain third parties, such as Apple, Google, Microsoft, or BlackBerry, may act as beneficiaries of this agreement when their platforms are used to access the Services. These entities are not responsible for providing or supporting the Services.

6. Ownership

All rights to the Services, including intellectual property, remain with VOZI Cabs or its licensors. These Terms do not transfer any ownership rights to you. You are not authorized to use VOZI Cabs' names, logos, trademarks, or service marks without prior written consent.

3. Your Use of the Services

User Accounts

To use most features of the Services, you must register and maintain an active personal user account (“Account”). To register, you must:

• Be at least 18 years old, or the legal age of majority in your jurisdiction if different.
• Provide accurate personal information, including your name, address, mobile phone number, age, and at least one valid payment method (credit card or accepted payment partner).

You are responsible for ensuring that your Account information remains accurate, complete, and up-to-date. Failure to do so, including maintaining an invalid or expired payment method, may result in the suspension or termination of your access to the Services.

You are solely responsible for all activities conducted under your Account. To maintain security, you must keep your username and password confidential. Unless explicitly authorized by VOZI Cabs, you may only have one Account.

User Requirements and Conduct

• The Services are not available to individuals under the age of 18.
• You may not authorize others to use your Account, nor may you allow individuals under 18 to use transportation or logistics services unless they are accompanied by you.
• You cannot transfer or assign your Account to another person or entity.
• You must comply with all applicable laws and use the Services only for lawful purposes (e.g., no transportation of illegal or hazardous materials).
• You agree to avoid causing nuisance, annoyance, or property damage to others, including Third Party Providers.
• VOZI Cabs may require proof of identity for access to the Services and reserves the right to deny service if proof is not provided.

Text Messaging

• By creating an Account, you agree to receive informational text (SMS) messages related to the normal operation of the Services.
• To opt out, email talktous@vozi.in with your mobile number and a request to stop receiving messages.
• Opting out may affect your ability to fully use the Services.

Promotional Codes

VOZI Cabs may offer promotional codes (“Promo Codes”) at its discretion. These Promo Codes may provide account credits, discounts, or other benefits, subject to specific terms established by VOZI Cabs. By using Promo Codes, you agree to the following:

• Promo Codes must be used as intended, for the specified audience and purpose.
• Promo Codes cannot be duplicated, sold, transferred, or made publicly available without authorization.
• VOZI Cabs reserves the right to disable Promo Codes or withhold benefits obtained through misuse, fraud, or error.
• Promo Codes cannot be exchanged for cash and may expire before use.

User-Provided Content

VOZI Cabs may allow you to submit, upload, or publish textual, audio, or visual content, including feedback, support requests, and contest entries (“User Content”).

Ownership:

You retain ownership of your User Content.

License:

By submitting User Content, you grant VOZI Cabs a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, copy, modify, and distribute your content across all formats and channels for business purposes, without additional notice or compensation.

Responsibilities:

• You affirm that you own or have the necessary rights and permissions to submit the User Content.
• Your content must not infringe on third-party intellectual property, privacy rights, or violate applicable laws.
• You must not submit defamatory, obscene, violent, or unlawful content, or any material deemed offensive by VOZI Cabs.
• VOZI Cabs reserves the right to review, monitor, and remove User Content at its discretion.

Network Access and Devices

• You are responsible for obtaining the necessary network access and compatible devices to use the Services.
• Data and messaging charges from your mobile provider may apply, and VOZI Cabs is not responsible for these costs.
• VOZI Cabs does not guarantee compatibility with all hardware or devices, and the Services may experience delays or malfunctions inherent in internet and electronic communications.

4. Payment

Charges:

By using the Services, you acknowledge that charges will apply for services received through VOZI Cabs.

• Charges include applicable taxes and may also cover tolls, fees, pickup facilities, and night-hour premiums.
• The city for trip initiation is determined by your address on VOZI Cabs records, where available.

Payment Processing:

• Payment is facilitated via your designated payment method. If the primary method is invalid, VOZI Cabs may use a secondary method.
• Payments are final and non-refundable unless otherwise specified by VOZI Cabs.

Pricing Adjustments:

VOZI Cabs reserves the right to establish, revise, or remove charges at any time. Pricing may vary based on factors such as the time of day.

Promotions and Discounts:

Promotional offers, discounts, or subscriptions may result in varying charges for different users. However, these do not affect the charges applied to your account unless explicitly offered to you.

Cancellations:

If you cancel a request before services arrive, a cancellation fee may be charged.

Gratuities:

Tipping is optional and voluntary.

Feedback:

After service completion, you can rate and provide feedback on your experience.

Cleaning Fees

You are liable for cleaning costs exceeding normal usage. If a driver reports the need for cleaning and VOZI Cabs verifies the claim, the cost will be charged to your payment method. Cleaning charges are non-refundable.

5. Disclaimers; Limitation of Liability; Indemnity

Disclaimer

VOZI Cabs provides the Services “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. This includes, but is not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Guarantees about the reliability, quality, suitability, or availability of the Services, or their uninterrupted or error-free performance.

You assume all risks associated with the use of the Services to the fullest extent permitted by law.

Limitation of Liability

VOZI Cabs is not liable for:

• Indirect, incidental, special, punitive, or consequential damages, such as lost profits, data, or personal/property damage.
• Damages related to your use or inability to use the Services, or any transaction or relationship resulting from the Services.
• Delays or performance failures due to causes beyond its control.

VOZI Cabs's role is limited to facilitating transportation or logistics services, and it is not responsible for the actions of third-party providers. These limitations do not override rights that cannot be excluded under applicable law.

Indemnity

You agree to indemnify and hold harmless VOZI Cabs, its officers, directors, employees, and agents from claims, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services.
• Your breach of these Terms.
• VOZI Cabs's use of your User Content.

6. Governing Law; Arbitration

Governing Law:

These Terms are governed and construed in accordance with the laws of India.

Dispute Resolution:

• Mediation: Any dispute, claim, or controversy (“Dispute”) relating to the Services or these Terms must first be resolved through mediation under Indian law. Mediation must be initiated within 60 days of submitting a request.
• Arbitration: If mediation fails, disputes will be resolved exclusively through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Arbitration Details:

• A sole arbitrator will be appointed as per the Act.
• Mediation and arbitration will occur in India, and proceedings will be conducted in English.
• The content of these proceedings is strictly confidential and can only be disclosed under specific conditions, such as necessary involvement of a third party who agrees to confidentiality.

7. Other Provisions

Claims of Copyright Infringement

Claims should be sent to VOZI Cabs's designated agent. Visit www.vozi.in for the address and more information.

Notices

From VOZI Cabs: Notices may be delivered via:

• General announcements on the Services.
• Email to the address in your account.
• Written communication to the address in your account.

To VOZI Cabs: Notices can be sent via written communication to the address listed on their website.

Assignment

• By Users: You may not assign or transfer these Terms without prior written approval from VOZI Cabs.
• By VOZI Cabs: VOZI Cabs may transfer or assign these Terms, including to subsidiaries, affiliates, acquirers, or successors by merger.

Legal Relationship

These Terms do not establish a joint venture, partnership, employment, or agency relationship between you and VOZI Cabs.

Severability

If any provision of these Terms is deemed illegal or unenforceable, the remainder of the Terms will remain valid. Invalid provisions will be replaced with ones that align with the original intent.

Entire Agreement

These Terms represent the full agreement between you and VOZI Cabs, superseding any prior agreements.

Language

Terms such as “including” and “include” mean “including, but not limited to.”

Legal Process for Records Requests

• VOZI Cabs discloses records per its Terms of Service and applicable law.
• Court orders may be required to compel disclosure.

• VOZI Cabs evaluates emergency requests involving threats of death, serious harm, or illegal activity.
• Emergency requests can be submitted to talktous@vozi.in, including detailed descriptions of the emergency.
• Non-law enforcement individuals should contact local authorities directly.

User Notification

• VOZI Cabs may notify users before disclosing their information, unless legally prohibited or in emergencies.
• Law enforcement must provide court orders to prevent user notification.

Authentication and Testimony

• VOZI Cabs may provide a certification for records but does not typically offer in-person or expert testimony.
